This website is operated by the Weitzman Institute of Community Health Center, Inc. (“CHC”, “we”, “our” or “us”). These terms and conditions are entered into by and between you and CHC, and together with our Privacy Policy, found at https://education.weitzmaninstitute.org/, and any documents incorporated by reference (collectively, these “Terms of Use”) govern your access to and use of the “Website”, including all information, tools and services available through the use of the Website. CHC reserves the right, at our sole discretion, to change, modify, add or remove  any portion of these Terms of Use, in whole or in part, at any time, by posting  revised terms on the Website. You represent and warrant that you own or  otherwise control all the rights to the Contributions; that the content of the  Contributions is accurate; that use of the Contributions you supply does not violate  any provision herein and will not cause injury to any person or entity; and that you  will indemnify CHC for all claims resulting from the Contributions you supply.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these  Terms of Use. You agree not to use the Website: 

(i) In any way that violates any applicable federal, state, local or  international law or regulation (including, without limitation, any laws regarding

the export of data or software to and from the US or other countries) or otherwise  give rise to liability. 

(ii) To upload, distribute or otherwise publish through this Website any  content that is confidential, proprietary, false, fraudulent, libelous, defamatory,  obscene, threatening, invasive of privacy or publicity rights, infringing on  intellectual property rights, abusive, illegal or otherwise objectionable. 

(iii) For the purpose of exploiting, harming or attempting to exploit or harm  minors in any way by exposing them to inappropriate content, asking for  personally identifiable information or otherwise. 

(iv) To constitute or encourage a criminal offense or violate the rights of any  party to these Terms of Use or third party. 

(v) To engage in any other conduct that restricts or inhibits anyone's use or  enjoyment of the Website, or which, as determined by us, may harm CHC or users  of the Website or expose them to liability. 

(vi) In any manner that could disable, overburden, damage, or impair the  Website or interfere with any other party's use of the Website, including their  ability to engage in real time activities through the Website. 

(vii) With any robot, spider or other automatic device, process or means, or  any manual process, to access the Website for any purpose, including monitoring  or copying any of the material on the Website. 

(viii) With any device, software or routine that interferes with the proper  working of the Website, or introduces any viruses, Trojan horses, worms, logic  bombs or other material that is malicious or technologically harmful, including but  not limited to, chain letters, mass mailings or any form of “spam”. 

(ix) To attempt to gain unauthorized access to, interfere with, damage or  disrupt any parts of the Website, the server on which the Website is stored, or any  server, computer or database connected to the Website, or attack the Website via  a denial-of-service attack or a distributed denial-of-service attack. 

(x) By using a false email address or other identifying information,  impersonate any person or entity or otherwise mislead as to the origin of any content.  

(xi) To upload commercial content onto the Website.

CHC is under no obligation to post, forward, transmit, distribute or otherwise  provide any material available on this Website, including material you provide to  us, and so we have an absolute right to remove any material from the site in our  sole discretion at any time.

Accessing the Website and Account Security

We reserve the right to withdraw or amend this Website, and any service or  material we provide on the Website, at our sole discretion without notice. Unless  we have otherwise specifically agreed, we will not be liable if for any reason all or  any part of the Website is unavailable at any time or for any period of time. From  time to time, we may restrict access to some parts of the Website, or the entire  Website, to users, including registered users.

If you cause a technical disruption of the Website or the systems transmitting the  Website to you or others, you agree to be responsible for any and all losses,  liabilities, expenses, damages and costs, including reasonable attorneys' fees and  court costs, arising out of or resulting from that disruption. CHC reserves the right,  at its own expense, to assume exclusive defense and control of any matter  otherwise subject to indemnification by you and, in such case, you agree to  cooperate with CHC in the defense of such matter.

Jurisdiction and Applicable Law

All matters relating to the Website and these Terms of Use and any dispute or  claim arising therefrom or related thereto (in each case, including non-contractual  disputes or claims) shall be governed by and construed in accordance with the  internal laws of the State of Connecticut, and you irrevocably consent to the  jurisdiction of the federal and state courts located in Connecticut for any action  arising out of or relating to these Terms of Use, although we retain the right to  bring any suit, action or proceeding against you for breach of these Terms of Use  in your country of residence or any other relevant jurisdiction. You waive any and  all objections to the exercise of jurisdiction over you by such courts and to venue  in such courts. 

We recognize that it is possible for you to obtain access to this Website from any  jurisdiction in the world, but we have no practical ability to prevent such access.  This Website has been designed to comply with the laws of the State of  Connecticut and of the United States. Waiver and Severability

No waiver of by CHC of any term or condition set forth in these Terms of Use shall  be deemed a further or continuing waiver of such term or condition or a waiver of  any other term or condition, and any failure of CHC to assert a right or provision  under these Terms of Use shall not constitute a waiver of such right or provision.  If any provision of these Terms of Use is held by a court or other tribunal of  competent jurisdiction to be invalid, illegal or unenforceable for any reason, such  provision shall be eliminated or limited to the minimum extent such that the  remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

These Terms of Use and the Privacy Policy constitute the sole and entire  agreement between you and CHC with respect to your use of the Website and  supersede all prior or contemporaneous understandings, representations and  warranties, whether oral or written, between the parties with respect to the  Website. These Terms of Use apply exclusively to your access, and use of, this  Website and they will not alter any terms or conditions of any other agreement  you may enter into with CHC, unless there is a conflict of provisions, in which case,  the other agreement you enter into with CHC shall govern with respect to the  specific provision.
